2. Services
Votaip LLC provides search engine optimization (SEO), content marketing, link building, local SEO, and related digital marketing services ("Services"). The specific scope of Services for each client is defined in the pricing plan selected and/or in a separate written agreement or statement of work.
3. Eligibility and Accounts
You must be at least 18 years old and legally capable of entering into a binding contract to use our Services. You are responsible for maintaining the confidentiality of any login credentials you use in connection with the Services.
4. Payment Terms
- Pricing: All prices are listed in U.S. Dollars (USD) on our website and are exclusive of any applicable taxes.
- Billing: Payments are processed securely via Stripe. By providing payment information, you authorize us (and Stripe) to charge your payment method on a recurring monthly basis, unless otherwise agreed in writing.
- Auto-renewal: Monthly subscriptions renew automatically at the end of each billing cycle until cancelled.
- Taxes: You are responsible for any applicable sales, use, or VAT taxes.
- Failed payments: If a payment fails, we may suspend Services until payment is received.
- Price changes: We may change prices with at least 30 days' prior written notice. Price changes take effect at the start of the next billing cycle.
5. Refunds and Cancellation
Refunds and cancellations are governed by our Refund Policy, which is incorporated into these Terms by reference.
6. Client Responsibilities
To enable us to deliver the Services effectively, you agree to:
- Provide timely access to your website, analytics, and other necessary accounts.
- Provide accurate information and respond to requests within a reasonable timeframe.
- Ensure that any content or materials you supply do not infringe third-party rights or violate applicable laws.
- Not request or require any practice that violates Google's Webmaster Guidelines or applicable laws (e.g., black-hat SEO, spam, cloaking).
7. SEO Disclaimer — No Guarantees
Important: Search engines such as Google control their own algorithms and ranking factors, which change frequently. Votaip LLC does not guarantee specific rankings, traffic volumes, or revenue outcomes. Our Services are provided on a best-efforts basis using industry-standard, white-hat techniques. Any examples, case studies, or projections are illustrative and not promises of future results.
8. Intellectual Property
8.1 Our IP
All content, methodologies, templates, tools, reports, and materials we create or provide remain the property of Votaip LLC unless otherwise agreed in writing. You may not resell, redistribute, or republish them without our permission.
8.2 Your IP
You retain ownership of your own website content, brand assets, and data. You grant us a limited license to access and use them solely for the purpose of delivering the Services. Upon full payment, deliverables specifically created for you (e.g., written articles) are licensed to you for your own use.
9. Confidentiality
Each party agrees to keep the other party's non-public information confidential and to use it only for the purpose of performing under these Terms. This obligation survives termination.
10. Third-Party Services
Our Services may rely on third-party platforms (e.g., Google, Stripe, hosting providers, SEO tools). We are not responsible for outages, policy changes, or actions of third parties. Your use of third-party services is subject to their own terms.
11. Prohibited Conduct
You agree not to:
- Use our Services for any unlawful or fraudulent purpose.
- Infringe the intellectual property or privacy rights of others.
- Attempt to gain unauthorized access to our systems or those of third parties.
- Engage in spam, malware distribution, or deceptive practices.
12. Disclaimer of Warranties
The Services are provided "as is" and "as available." To the maximum extent permitted by law, Votaip LLC disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or achieve any specific outcome.
13. Limitation of Liability
To the maximum extent permitted by law, Votaip LLC and its members, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or lost data, arising out of or relating to the Services. Our total aggregate liability for any and all claims shall not exceed the total amount you paid to us in the three (3) months preceding the event giving rise to the claim.

You agree to indemnify and hold harmless Votaip LLC, its members, officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your breach of these Terms, your content, or your use of the Services.
15. Term and Termination
- These Terms begin when you first use our Services and continue until terminated.
- You may cancel your subscription at any time with written notice to support@votaip.com. Cancellation takes effect at the end of the current billing cycle.
- We may suspend or terminate your access immediately for breach of these Terms, non-payment, or unlawful activity.
- Sections that by their nature should survive termination (e.g., IP, confidentiality, disclaimers, limitation of liability, governing law) shall survive.
16. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles. Subject to the arbitration clause below, the state and federal courts located in Sheridan County, Wyoming, shall have exclusive jurisdiction over any disputes.
17. Dispute Resolution and Arbitration
Any dispute arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If not resolved within 30 days, the dispute shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, seated in Sheridan, Wyoming, USA. You and Votaip LLC each waive the right to a trial by jury and to participate in class actions. Nothing in this clause prevents either party from seeking injunctive relief in a court of competent jurisdiction.
18. Changes to These Terms
We may update these Terms from time to time. The updated version will be posted on this page with a revised "Last updated" date. Continued use of the Services after changes take effect constitutes your acceptance of the updated Terms.
19. Miscellaneous
- Entire agreement: These Terms, together with our Privacy Policy, Refund Policy, and any statement of work, constitute the entire agreement between you and us.
- Severability: If any provision is found unenforceable, the remaining provisions remain in full force.
- Assignment: You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
- No waiver: Failure to enforce any provision is not a waiver of that provision.
